Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between 01Security Inc. ("01Security," "we," "us," or "our") and the entity or individual ("Customer," "you," or "your") accessing or using our autonomous cybersecurity platform, AI agents, and associated services (collectively, the "Platform"). By accessing the Platform, you agree to be bound by these Terms.

1. The Agentic Deployment Model

01Security provides autonomous AI agents ("Agents") that are designed to operate within your digital infrastructure. Unlike traditional software, these Agents possess decision-making capabilities aimed at identifying and neutralizing threats in real-time. By deploying these Agents, you acknowledge the autonomous nature of the service and the governance framework required to manage such technology safely.

2. License and Governance

Subject to your compliance with these Terms, 01Security grants you a non-exclusive, non-sublicensable, non-transferable license to deploy and utilize the Platform for your internal security purposes. Governance is a shared responsibility:

• Customer Responsibility: You are responsible for defining the operational boundaries and "rules of engagement" for Agents within your infrastructure via the 01Security Control Plane.
• Agent Autonomy: You agree that Agents may take defensive actions (e.g., isolating a compromised node, blocking a malicious IP) based on the governance parameters you have established.
• Continuous Learning: Our Agents utilize localized machine learning to adapt to your specific environment. You agree to let Agents process environmental telemetry to maintain this adaptive defense capability.

3. Prohibited Conduct and AI Safety

To ensure the safety and integrity of the Platform, you agree not to:

• Adversarial Testing: Conduct unauthorized adversarial testing or "jailbreaking" attempts on Agents without prior written consent from 01Security's AI Safety team.
• Model Extraction: Use any automated or manual process to extract the weights, logic, or underlying training data of our proprietary AI models.
• Unlawful Use: Use the Platform to facilitate cyberattacks, surveillance, or any activity that violates international human rights or cybersecurity laws.

4. Intellectual Property and Data Rights

01Security retains all rights, title, and interest in the Platform, including the AI architectures, agentic logic, and brand assets. Your infrastructure data remains yours. We claim no ownership over your proprietary logs or configurations; however, you grant us a limited license to process this data solely to provide and improve the Platform's defensive capabilities for your benefit.

5. AI Liability and Disclaimers

Cybersecurity is an adversarial field, and AI is a probabilistic technology. You acknowledge and agree that:

• No Guarantee of Total Immunity: While our Platform represents the state-of-the-art in autonomous defense, we do not warrant that it will detect every possible threat or prevent every attack.
• False Positives: Autonomous reasoning may occasionally result in "false positives" where legitimate activity is flagged or restricted. You agree to manage these through the exception handling features of our Platform.
• Limitation of Liability: To the maximum extent permitted by law, 01Security shall not be liable for any indirect, consequential, or punitive damages arising from autonomous decisions made by Agents operating within the governance parameters set by you.

6. Security and Infrastructure Integrity

You agree to provide our Agents with the necessary permissions and resources to function effectively. Failure to maintain the required infrastructure environment may degrade the performance of the Platform. 01Security is not responsible for security breaches resulting from the Customer's failure to follow deployment guidelines or overriding critical Agentic warnings.

7. Subscription, Fees, and Termination

Access to the Platform is provided on a subscription basis. We reserve the right to suspend services in the event of non-payment or breach of the AI Safety guidelines. Upon termination, the license to use the Agents expires, and you must decommission all 01Security Agents from your environment within 48 hours.

8. Good Governance and Compliance

01Security is committed to the ethical development of AI. We expect our Customers to use the Platform in a manner consistent with good corporate governance and applicable cybersecurity regulations (e.g., SOC2, ISO 27001, NIST). Both parties agree to cooperate in audits related to the Platform's usage if required by regulatory bodies.

9. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration, except for claims related to the misappropriation of AI intellectual property.
